Board Structure and
Strategic Oversight
Spotlight is governed by a lean and experienced Board of Directors, composed of the Chief Executive Officer (CEO), Chief Technical Officer (CTO), and Chief Marketing Officer (CMO). The Board meets monthly to review performance, assess strategic opportunities, and oversee risk and compliance matters. Additionally, an annual shareholders’ meeting is held to evaluate business results, strategic direction, and investment planning.

Governance
Sustainability has long been embedded in Spotlight’s design and sourcing philosophy. The company is now formalizing its ESG governance through a multi-phase roadmap, listed in this section.

Spotlight promotes a transparent, supportive work culture through open feedback channels and annual performance reviews. With clear evaluation criteria, Individual Development Plans (IDPs), and our in-house LEDucation platform, we ensure every team member has a voice—and a path to grow.
Greener Supply Chain
Spotlight prioritizes local sourcing, with 77% of procurement from within Italy and 34% from subcontractors near its facility—some established solely to support its operations. Supplier agreements include certification checks, ESG clauses, and sustainability screening.
Anti-Corruption
Spotlight enforces a strict anti-corruption policy aligned with Italian Decree No. 231/2001 and OECD guidelines, covering bribery, supplier ethics, and financial transparency. A whistleblower channel and board oversight ensure accountability, while training for employees and suppliers supports ongoing compliance.

Ahead
Spotlight S.C. is strengthening its governance by formally integrating ESG into board discussions, risk reviews, and reporting. As the company grows, it may establish an ESG Committee to deepen stakeholder engagement and align with evolving EU regulations like the CSRD.
Looking forward, Spotlight will undertake a comprehensive GHG Protocol-based emissions audit, including Scope 3, aligned with Science Based Targets initiative (SBTi) methodologies. The company also aims to achieve ISO 14001 certification within the next reporting year—laying the foundation for a robust environmental management system that supports data-driven, accountable decision-making.
